1. Acceptance of Terms

Welcome to Codixa LLC (“Codixa,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our website at codixa.app (the “Site”) and any services, software, or products provided by Codixa LLC.

By accessing or using our Site or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Site or services.

2. Our Services

Codixa LLC provides software development, web application development, SaaS product development, API integrations, automation tools, and related technology services. The specific scope, deliverables, timeline, and fees for any project will be defined in a separate written agreement or statement of work between Codixa and the client.

3. Intellectual Property

3.1 Our Property

All content on this Site, including text, graphics, logos, icons, images, and software, is the property of Codixa LLC or its content suppliers and is protected by United States and international intellectual property laws.

3.2 Client Work

Unless otherwise specified in a written agreement, upon full payment for services rendered, the client will receive ownership rights to the custom deliverables created specifically for them. Codixa retains the right to use general knowledge, techniques, and non-proprietary components developed during the project.

3.3 Third-Party Components

Projects may include open-source or third-party components that are subject to their respective licenses. Codixa will inform clients of any such components and their applicable license terms.

4. User Obligations

When using our Site or services, you agree to:

• Provide accurate and complete information when requested
• Not use our Site for any unlawful purpose or in violation of any applicable laws
• Not attempt to gain unauthorized access to any portion of the Site or its systems
• Not interfere with or disrupt the integrity or performance of the Site
• Not reproduce, duplicate, copy, sell, or exploit any portion of the Site without express written permission

5. Payment Terms

Payment terms for services will be outlined in the applicable service agreement or statement of work. Unless otherwise agreed upon in writing:

• Invoices are due within 30 days of issuance
• Late payments may incur interest at a rate of 1.5% per month
• Codixa reserves the right to suspend work on any project with outstanding payments
• All fees are non-refundable unless otherwise stated in the service agreement

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of a project engagement. This obligation survives the termination of any service agreement for a period of two (2) years, unless otherwise agreed in writing.

7. Warranties & Disclaimers

Codixa does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Codixa LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of the Site or our services.

In no event shall Codixa LLC’s total liability exceed the amount paid by you to Codixa for the specific services giving rise to the claim during the twelve (12) months preceding the event.

9. Indemnification

You agree to indemnify, defend, and hold harmless Codixa LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney fees, arising out of or in any way connected with your access to or use of the Site or services, or your violation of these Terms.

10. Termination

We may terminate or suspend your access to our Site and services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Site will cease immediately.

For project-based services, termination terms will be governed by the applicable service agreement or statement of work.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in the State of Wyoming.

12. Changes to These Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of the Site after any changes constitutes acceptance of the new Terms.
